1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Nisq Technologies Inc., a corporation registered in Toronto, Ontario, Canada ("Company," "Kloot," "we," "us," or "our"), governing your access to and use of the Kloot platform at kloot.gg, including the web dashboard, control deck, overlay URLs, mobile control panel, and any related services (collectively, the "Service").

By accessing or using the Service — whether as a streamer with an account or as a viewer who interacts with an overlay — you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

Kloot is a real-time overlay and audience-engagement platform for live streamers. The Service provides a single universal overlay URL that a streamer adds once to OBS (or any compatible broadcasting software) as a Browser Source. From a live control deck — available on desktop and as a mobile control panel — streamers trigger interactive overlays and effects in real time, including but not limited to:

• Engagement tools: polls, alerts, lower thirds, text overlays, tickers, counters and countdowns, borders, emoji reactions, and hype effects
• Monetization tools: giveaways ("drops") with on-stream winner selection and automated prize delivery, and sponsor ad overlays
• Production tools: cover/starting-soon/BRB screens, deck profiles, and command palette

Viewers can join giveaways in real time via a QR code or short join link without creating an account. The Service is delivered as software; we may add, modify, or remove features over time.

3. User Accounts

3.1 Account Creation

Streamers must authenticate via Google or Twitch OAuth to access the dashboard, control deck, and account features. You agree to provide accurate information, to keep your login and overlay token secure, and to be at least the age of majority in your jurisdiction (or to have a parent or guardian's consent where permitted).

3.2 Account Responsibility

You are responsible for all activity under your account and for keeping your overlay URL and any integration credentials confidential. Your overlay token can be rotated from your settings if you believe it has been exposed. Notify us immediately at support@kloot.gg if you suspect unauthorized access. We are not liable for loss resulting from unauthorized use of your account.

3.3 Viewer Participation

Viewers may join giveaways without an account by providing a display name and, optionally, an email address for prize delivery. By participating, viewers agree to these Terms and to the streamer's own giveaway rules. Kloot does not require viewers to connect chat, subscription, or channel-points accounts to participate.

4. Subscriptions, Trials, and Payments

4.1 Plans

The Service offers a Free tier and paid plans. The Free tier includes emoji reactions and a limited set of overlays, with a small Kloot watermark displayed on your overlays. Creator ($15/month or $150/year) unlocks the full engagement suite and removes the watermark. Pro ($25/month or $250/year) adds giveaways with automated prize delivery, sponsor ad overlays, and custom asset uploads. We also offer a one-time Event Pass ($9 for 3 days of Pro-level access, with no subscription). Plan contents and prices are described on our pricing page and may change; the pricing page controls current offerings.

4.2 Free Pro Trial and Auto-Conversion

We offer a 7-day free Pro trial that requires a valid payment method on file. Unless you cancel before the trial ends, the trial automatically converts to a paid Pro subscription at the then-current rate, and your payment method will be charged. You may cancel at any time before the trial ends from your dashboard and owe nothing. The Event Pass is not a trial — it is a one-time purchase that grants temporary access and does not auto-renew.

4.3 Billing

Paid subscriptions are billed monthly or annually through our payment processor, Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel. All fees are quoted in USD unless otherwise stated and are exclusive of any applicable taxes, which may be added at checkout.

4.4 Cancellation, Changes, and Refunds

You may cancel or change your plan at any time from your dashboard. Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing period, and you retain access until then. We do not provide prorated refunds for partial billing periods or for unused Event Pass time. If you believe you were charged in error, contact us at support@kloot.gg within 30 days. Nothing in this section limits any non-waivable refund or cancellation rights you may have under applicable consumer-protection law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Conduct fraudulent or deceptive giveaways, or misrepresent prizes, odds, or eligibility
• Display offensive, hateful, harassing, or otherwise inappropriate names, text, images, or overlay content
• Upload assets (images, logos, fonts, media) you do not own or have the rights to use, or that infringe intellectual-property or publicity rights
• Attempt to manipulate giveaway outcomes, exploit vulnerabilities, or interfere with random winner selection
• Use bots, scripts, or automated tools to flood entries or place automated load on the Service
• Harvest or scrape participant data beyond what the Service provides to you
• Interfere with, overload, or disrupt the Service or its infrastructure
• Impersonate another person or misrepresent your affiliation or sponsorship

We apply automated content moderation (including profanity filtering on names and text) and reserve the right to reject entries, remove content, or suspend accounts that violate these rules.

6. Streamer Responsibilities for Giveaways

As a streamer running giveaways through Kloot, you agree to:

• Fulfill all prizes you promise, in good faith and as advertised
• Comply with all laws governing contests, sweepstakes, raffles, and giveaways in every jurisdiction your audience participates from, including any registration, bonding, disclosure, or "no purchase necessary" requirements
• Clearly communicate your giveaway rules, eligibility, and entry deadlines to your audience
• Handle participant email data responsibly and only as participants would reasonably expect — for prize delivery and the communications you disclosed
• Not sell participant emails or use them for unsolicited spam, and to honor unsubscribe requests and applicable email/marketing laws (e.g., CAN-SPAM, CASL, GDPR)

Kloot is a tool that facilitates giveaways. We are not a co-sponsor, organizer, administrator, or guarantor of any giveaway you run. You are solely responsible for the legality, conduct, and fulfillment of your giveaways, and you act as the independent data controller for the participant data you collect (see our Privacy Policy).

7. Sponsored Content and Ads

Kloot lets you display sponsor ad overlays and sponsored giveaways. You are responsible for ensuring any sponsored or paid content you display complies with applicable advertising-disclosure laws and platform rules (for example, FTC endorsement guidelines and the terms of Twitch, YouTube, or other platforms you broadcast on). You represent that you have the rights and permissions necessary to display any sponsor names, logos, or creative through the Service.

8. Participant Data and Email Usage

When participants provide their email during a giveaway, that email is made available to the streamer who created the giveaway, along with entry and prize-delivery records that Kloot stores to operate the giveaway, deliver prizes, and provide history and audit features. Streamers may use participant emails to:

• Deliver prizes to winners (including via Kloot's automated prize-delivery emails)
• Communicate about future giveaways or promotions, where disclosed and permitted by law
• Share information about upcoming streams or events

Kloot (Nisq Technologies Inc.) will never sell collected participant email addresses or disclose them to unrelated third parties for their own marketing. We use service providers (such as our email-delivery and hosting providers) solely to operate the Service. Once a streamer exports or otherwise obtains participant data, the streamer is independently responsible for how that data is used.

9. Your Content and Uploaded Assets

You retain ownership of the content and assets you create or upload through the Service — including giveaway titles, overlay configurations, text, poll questions, sponsor creative, and custom uploads such as border PNGs, screen backgrounds, profile images, and custom emojis. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display that content solely to operate and provide the Service to you and your viewers.

You are responsible for ensuring you have all rights necessary to upload and display your content, and that it does not infringe the rights of others. We may remove content that violates these Terms or applicable law.

10. Intellectual Property

The Service — including its design, code, branding, logos, overlay renderers, and content (other than your content) — is owned by Nisq Technologies Inc. and protected by Canadian and international intellectual-property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Service without our prior written consent, except as expressly permitted by these Terms or applicable law.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that:

• The Service will be uninterrupted, error-free, or secure
• Overlay, giveaway, or analytics data will be permanently stored or recoverable
• The random winner-selection mechanism will meet any specific statistical or legal requirement for your jurisdiction
• The Service will be compatible with all streaming setups, OBS configurations, or third-party tools

12. Limitation of Liability

To the maximum extent permitted by law, Nisq Technologies Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or CAD $100, whichever is greater. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Nisq Technologies Inc. from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content or uploaded assets, your giveaway or sponsorship activities, your handling of participant data, or your violation of these Terms or applicable law.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice where permitted by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.

You may delete your account at any time from your settings or by contacting us. We will remove your account data in accordance with our Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any non-waivable rights you have under the consumer-protection laws of your place of residence, any dispute arising from these Terms or the Service shall be resolved exclusively in the courts of competent jurisdiction located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you (for example, via email or an in-app notice).

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
